Welcome to SocialIQ. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Talpro India Private Limited ("Company," "we," "our," or "us"), governing your access to and use of the SocialIQ platform, website, APIs, and related services (collectively, the "Service").

1. Acceptance of Terms

By creating an account, accessing, or using SocialIQ, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must immediately stop using the Service.

2. Account Registration

  • You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.
  • You must provide accurate, complete, and current information during registration and keep your account details up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You must notify us immediately at security@socialiq.social if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Subscription & Billing

3.1 Plans and Pricing

SocialIQ offers multiple subscription tiers as described on our Pricing page. Prices are subject to change with 30 days' notice. Continued use after a price change constitutes acceptance.

3.2 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. No charges will be applied during the trial period.

3.3 Payment

  • Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen billing cycle.
  • All payments are processed securely through Razorpay, our authorized payment gateway partner. By providing payment information, you authorize us to charge your payment method for the applicable fees.
  • Accepted payment methods include credit cards, debit cards, UPI, net banking, and digital wallets as supported by Razorpay.
  • All transactions are secured with industry-standard encryption. SocialIQ does not store your card details — all payment data is handled by Razorpay in compliance with PCI-DSS standards.
  • If payment fails, we will attempt to charge your payment method again. After repeated failures, your account may be downgraded or suspended.
  • You will receive a payment confirmation email and tax invoice for every successful transaction.

3.4 Cancellation & Refunds

You may cancel your subscription at any time through your account settings or by emailing billing@socialiq.social. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your billing cycle.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Send spam, unsolicited messages, or engage in abusive social media practices
  • Upload, post, or transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to scrape, harvest, or collect data in violation of platform terms of service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure
  • Circumvent any usage limits, rate limits, or access restrictions

Violation of these terms may result in immediate account suspension or termination without refund.

5. Intellectual Property

5.1 Our Property

The Service, including its design, features, code, algorithms, trademarks, and documentation, is owned by Talpro India Private Limited and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it.

5.2 Your Content

You retain ownership of all content you create, upload, or publish through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and display Your Content solely for the purpose of providing and improving the Service.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, store, and protect your data. By using the Service, you consent to the data practices described therein.

We are committed to compliance with the Digital Personal Data Protection Act, 2023 (DPDPA) and other applicable data protection regulations.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
  • IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms or our Acceptable Use policy
  • Fraudulent, abusive, or illegal activity
  • Non-payment of subscription fees
  • Extended inactivity (12+ months)

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it may be permanently deleted.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice within the Service at least 15 days before they take effect. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
